FRH and casino request exemption/extension based on Dutch financial supervision law

Casino Guichard-Perrachon SA (“Casino”; Euronext Paris: CO; ISIN: FR0000125585) is a subsidiary of France Retail Holdings S.à rl (an entity ultimately controlled by Mr. Daniel Krzetinski) (“FRH”). On behalf of the Company, we hereby notify you as follows: ), FRH and Casino have today jointly filed a petition in the Companies Court of the Amsterdam Court of Appeal in the Netherlands (the “Corporations Court”) under Article 5.72(3) and/or Article 5. I will announce it here. :71(1) of the Dutch Financial Supervision Act (wet fiscal and monetary policy, “FMSA”) Article 5.70 Regarding exemption from compulsory tender offer obligations stipulated in the FMSA. If the exemption is granted, the casino will begin the acquisition process within three months (uitkoop procedure) Pursuant to Article 2 92a of the Dutch Civil Code (burgerique wet book) Under the bill, the Chamber of Companies would determine the price to be paid for minority shareholders’ shares in Cnova NV, which would result in the casino charging a purchase price similar to the price paid in a compulsory tender offer. Today’s petition also includes a request for a further extension of the period set out in section 5.72(1) of the FMSA. The Chamber of Enterprises previously extended this period by 30 days in a judgment dated April 25, 2024. It is also mentioned in the press release that on March 28, 2024, FRH acquired a superior controlling interest in Cnova NV as a result of the completion of the casino’s financial restructuring. In this regard, his April 19, 2024 and his April 29, 2024 releases issued by Casino on behalf of FRH apply.
